01. Acceptance of these terms

These Terms of Service (“Terms”) govern your access to and use of exoscrum.com (the “Site”), operated by ExoScrum (“ExoScrum”, “we”, “us”). By using the Site you agree to these Terms. If you do not agree, please do not use the Site.

02. Use of the Site

You agree to use the Site only for lawful purposes. You must not:

• attempt to gain unauthorized access to the Site, its servers or related systems;
• interfere with or disrupt the Site, including by introducing malware or running automated scans or load tests without our written permission;
• scrape or harvest content at a volume or in a manner that burdens the Site;
• use the Site in a way that infringes the rights of others or violates applicable law.

03. Intellectual property

The Site and its content, including text, design, graphics, code, logos and the ExoScrum name, are owned by or licensed to ExoScrum and protected by intellectual property laws. You may view and share links to the Site for personal or internal business purposes. You may not copy, modify, distribute or create derivative works from it without our prior written permission.

Client names, marks and projects shown in our work section belong to their respective owners and appear for illustration only. Their appearance does not imply endorsement.

04. Services and engagements

Information on the Site describes our general capabilities and is not an offer. Any design, development, AI or consulting services are provided only under a separate written agreement, proposal or statement of work signed or accepted by both parties. If that agreement conflicts with these Terms, it prevails for those services.

05. Communications and submissions

Information you send us by email, phone or messaging is handled as described in our Privacy Policy. Please do not send confidential or sensitive information until we have agreed on appropriate terms. Unless we agree otherwise in writing, ideas or feedback you volunteer may be used by us without obligation to you.

06. Third-party links

The Site links to third-party websites and services, including client sites and social profiles. We do not control them and are not responsible for their content, availability or practices. Accessing them is at your own risk.

07. Disclaimer of warranties

The Site is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or secure.

08. Limitation of liability

To the fullest extent permitted by law, ExoScrum and its owners, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the Site. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

09. Indemnification

You agree to indemnify and hold ExoScrum harmless from claims, losses and expenses (including reasonable legal fees) arising from your misuse of the Site or breach of these Terms.

10. Changes and termination

We may modify the Site or these Terms at any time. The “Last updated” date shows the latest revision, and continued use after a change means you accept the updated Terms. We may suspend or restrict access to the Site at any time, including for violations of these Terms.

11. Governing law

These Terms are governed by the laws of the jurisdiction in which ExoScrum is established, without regard to conflict-of-law rules. Courts of that jurisdiction have exclusive authority over disputes, except where mandatory consumer law gives you the right to bring a claim elsewhere.
